MISSION
The mission of the executive committee shall be to exercise duties of the board of directors between meetings of the board.
COMPOSITION
The executive committee shall be composed of at least two but not more than three directors, including the chief executive officer.
RESPONSIBILITIES
All corporate powers shall be exercised by or under the authority of, and the business and affairs of the Company shall be managed under the direction of this committee, subject to the limitations specified below.
LIMITATIONS
The power and authority of the executive committee shall be limited by the Company’s articles of incorporation and the Company’s bylaws, both as may be amended from time to time.
