MISSION
Exercise duties of the board of directors between meetings of the board.
COMPOSITION
At least two but not more than three directors including the CEO.
RESPONSIBILITIES
All corporate powers shall be exercised by or under the authority
of, and the business and affairs of the Company shall be managed under
the direction of, this Committee, subject to the limitations specified
below.
LIMITATIONS
The power and authority of this Committee shall be limited by
The Company's articles of incorporation; and
The Company's bylaws,
both as may be amended from time to time.
